Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and UberMail (“UberMail,” “we,” “us,” or “our”) governing your use of the UberMail desktop application and associated services (collectively, the “Service”). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use UberMail. By using the Service, you represent that you are at least 13 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration and Security

You sign in to UberMail using your Google account. You are responsible for maintaining the security of your Google credentials and for all activity that occurs under your account. You must notify us immediately at legal@ubermail.ai if you suspect unauthorized access to your account.

You may not share your account with others or create accounts on behalf of others without their consent.

3. The Service

3.1 What UberMail Does

UberMail connects to your Gmail account via Google's APIs and, based on rules you configure, performs automated actions on your behalf — including reading, labeling, archiving, and drafting replies to email messages. All actions are logged and visible to you in the app.

3.2 Your Authorization

By connecting your Gmail account, you authorize UberMail to access and take actions on your Gmail inbox as directed by your configured rules. You are responsible for reviewing and configuring your rules appropriately. UberMail acts as your agent; the actions it takes are taken on your behalf.

3.3 Auto-Send

If you enable automatic reply sending, you acknowledge that UberMail will send emails from your Gmail address without further confirmation from you. You accept full responsibility for emails sent by UberMail on your behalf. We recommend reviewing your rules carefully before enabling this feature.

3.4 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you for any modification, suspension, or discontinuation of the Service.

4. Subscriptions and Billing

4.1 Free and Paid Plans

UberMail offers a free tier and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as described on our pricing page.

4.2 Payment

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are in U.S. dollars unless otherwise stated. You are responsible for all applicable taxes.

4.3 Cancellation

You may cancel your subscription at any time from within the app or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

4.4 Price Changes

We may change subscription prices with at least 30 days' notice. Your continued use of a paid plan after the price change takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited bulk email, or messages that violate the CAN-SPAM Act or similar laws.
  • Harass, threaten, or harm any person.
  • Violate any applicable law or regulation, including laws governing privacy, data protection, and electronic communications.
  • Circumvent, disable, or interfere with security features of the Service.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Use the Service in a way that could damage, overburden, or impair its infrastructure.
  • Reverse engineer, decompile, or disassemble the Service except to the extent permitted by law.
  • Use the Service to process the email of another person without their explicit authorization.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

6. Intellectual Property

6.1 Our Property

The Service, including its software, design, trademarks, and content, is owned by UberMail and protected by intellectual property laws. These Terms do not transfer any ownership rights to you. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes in accordance with these Terms.

6.2 Your Content

You retain all rights to your email content. You grant UberMail a limited license to access and process your email content solely to provide the Service to you. This license terminates when you disconnect your account or delete your account.

7. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

The Service integrates with third-party services including Google (Gmail API), Anthropic (AI inference), and Stripe (payments). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated content (such as draft replies) may contain errors or inaccuracies. You are responsible for reviewing any content before it is sent on your behalf.

UberMail is not a law firm, accounting firm, or professional services provider. Nothing in the Service constitutes legal, financial, or professional advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBERMAIL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless UberMail and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) email sent from your account via the Service.

12. Termination

Either party may terminate the agreement formed by these Terms at any time. You may terminate by disconnecting your Google account and deleting the app. We may terminate or suspend your access immediately for any violation of these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your license to use the Service ends immediately. Sections 6.1, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall first be submitted to informal negotiation by contacting us at legal@ubermail.ai. If the dispute is not resolved within 60 days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class action waiver: You agree to resolve disputes with us only on an individual basis and not as part of any class, collective, or representative action. To the extent applicable law prohibits this waiver, it shall not apply.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

14. General

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and UberMail and supersede all prior agreements relating to the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you at least 14 days before the changes take effect via email or an in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
